1. INTRODUCTION

1.1 Acceptance of Terms

By accessing or using the Iphamar™ Care Foundation (“the Foundation”, “we”, “us”, or “our”) website, mobile applications, or any other digital platforms operated by the Foundation (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not access or use our Services.

1.2 Modifications

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Services following any modification constitutes your acceptance of the revised Terms.

For the purposes of these Terms, the following definitions apply:

• User: Any individual or entity that accesses or uses the Services.

• Content: All information, text, graphics, photographs, videos, software, and other materials appearing on or through the Services.

5. INTELLECTUAL PROPERTY

5.1 Foundation Intellectual Property

All Content on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is owned by the Foundation or its licensors and is protected under Nigerian and international intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes only. This license does not permit you to:

a) Create derivative works from the Services or Content;
b) Use the Services or Content for commercial purposes;
c) Reverse engineer or disassemble the Services;
d) Remove or alter proprietary notices.

5.3 User Content

By submitting User Content, you grant the Foundation a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, publish, translate, distribute, and display such content in any media.

You represent and warrant that:

a) You own or control all rights to the User Content;
b) The User Content does not infringe any third-party rights;
c) The User Content complies with these Terms and applicable laws.

6. DONATIONS

6.1 Online Donations

Donations made through our Services are processed by third-party payment processors. By donating, you agree to comply with the terms and conditions of those processors in addition to these Terms.

6.2 Processing of Donations

Donations will be used in accordance with the purpose specified at the time of donation. The Foundation reserves the right to reject any donation at its sole discretion.

6.3 Tax Receipts

Tax receipts for eligible donations will be issued in accordance with applicable Nigerian tax laws and regulations.

7. THIRD-PARTY LINKS AND SERVICES

7.1 Third-Party Links

Our Services may contain links to third-party websites not owned or controlled by the Foundation. We are not responsible for the content, privacy policies, or practices of such websites.

7.2 Third-Party Services

8. DISCLAIMER OF WARRANTIES

8.1 “As Is” Basis

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

b) The Services will be uninterrupted, secure, or error-free;

d) Errors will be corrected.

9. LIMITATION OF LIABILITY

9.1 Exclusion of Liability

To the fullest extent permitted by law, the Foundation, its officers, directors, employees, agents, donors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

9.2 Cap on Liability

In no event shall the Foundation’s total liability exceed the amount paid by you, if any, for accessing the Services.

10. INDEMNIFICATION

You agree to indemnify and hold harmless the Foundation and its affiliates from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

11. TERMINATION

11.1 Termination by the Foundation

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms.

11.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions that by nature should survive termination shall remain in effect.

12. GOVERNING LAW AND JURISDICTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

12.2 Jurisdiction

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. MISCELLANEOUS

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Foundation.

13.2 Severability

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.

13.3 No Waiver

Failure to enforce any provision shall not constitute a waiver of that provision.

13.4 Assignment

You may not assign these Terms without prior written consent. The Foundation may assign these Terms without restriction.
